VALLEY VET SWEEPSTAKES GIVEAWAY OFFICIAL RULES
1. Sponsorship and Agreement to Official Rules.
This Sweepstakes Giveaway (Giveaway) is sponsored by Valley Vet Supply (Valley Vet). By participating in the Giveaway, entrants agree to be bound by these Official Rules, and by the Valley Vet Terms of Use and Privacy Policy, which are incorporated by reference. If there is a conflict, discrepancy, or inconsistency between these Official Rules and any other relevant agreements or materials, these Official Rules will prevail.
2. No Purchase Necessary to Enter or Win.
The Giveaway is free to enter without any purchase, payment, or donation required, for all eligible persons, as defined in paragraph 3 below. Eligible persons who timely enter will have the opportunity to win the prizes listed or announced on Valley Vet social media pages. Valley Vet will announce the Giveaway on its social media page(s); describe the prize to be awarded, including its approximate retail value; and include any additional instructions, deadlines, or information not included in these Official Rules. Such amounts, prize listings, announcements, videos, deadlines, instructions, and information are incorporated in these Official Rules by reference.
3. Eligibility.
The Giveaway is open to legal residents of the United States and the District of Columbia who are at least 18 years old, and is void where prohibited by law. Valley Vet employees and residents of California, Florida, New York, and Rhode Island are not eligible to enter or win prizes.
4. Timing.
The Giveaway begins when it is announced on the Valley Vet Facebook or other social media page, in an e-mail, or on the Valley Vet website. The Giveaway ends on the following Sunday at 11:59:59 PM CST, unless otherwise announced in the live video, social media post, e-mail, or on the website. The drawing will be held on the Monday following the announcement of the Giveaway (unless otherwise announced in the live video, social media post, e-mail, or on the website), and the winner(s) will be announced on the Valley Vet social media page(s), in an e-mail, or on the website. Valley Vet will be the official timekeeper for the Giveaway.
5. Prizes.
Prizes are not transferable or redeemable for cash, and may not be substituted or exchanged for other prizes, except as determined by Valley Vet when the listed prize is unavailable or impracticable-in which case the listed prize may be substituted for a prize of comparable value, as determined in Valley Vet's sole discretion. No prize may be wagered, exchanged, or otherwise used to accumulate additional prizes. All prizes must be claimed within 48 hours following notice of winning. If a winner cannot be contacted, does not claim the prize, is not eligible, or is disqualified, Valley Vet will determine an alternate winner from the eligible entries for the Giveaway. Prizes will not be replaced if lost or stolen following shipment from Valley Vet or from the prize vendor.
6. Odds of Winning.
Each entrant's odds of winning will depend on the total number of entries received for the Giveaway.
7. How to Enter.
Eligible participants may enter a Giveaway by following the instructions provided for the Giveaway that are posted on the Valley Vet social media page(s) announcing the Giveaway. Valley Vet reserves the right to void any entries that are lewd, harassing, offensive, inappropriate, fraudulent, spam, generated by an automated system, or otherwise do not conform to these Official Rules, as determined by Valley Vet. Participation is limited to one entry per person, and per e-mail address. In the event of a dispute as to any entry, the authorized account holder of the e-mail address used to enter will be deemed to be the entrant. The authorized account holder is the natural person assigned an e-mail address by an internet service provider, internet access provider, online service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address. Each potential winner may be required to show proof of being an authorized account holder. Any content created, generated, or submitted in connection with the Giveaway will become the property of Valley Vet, subject to the Valley Vet Terms of Use and the Valley Vet Privacy Policy, which are incorporated in these Official Rules by reference.
8. Selection and Announcement of Winners.
Winners will be chosen by random drawing from all eligible entries. Winners will be announced on the Valley Vet social media page(s), and may also be contacted by posted comment, tagging their personal page, or private message.
9. Publicity.
By entering the Giveaway, all entrants grant Valley Vet the exclusive right to use their name, image, photograph, voice, likeness, and state and hometown of residence in connection with publicizing this and other Giveaways, and waive any claims to royalty, attribution, or payment for such use, unless prohibited by law. Valley Vet will not share any personal information obtained through any entry with third-parties for any purpose other than for advertising, publicity, prize fulfillment, or related uses contemplated by these Official Rules, and by the Valley Vet Privacy Policy, which is incorporated by reference.
10. Indemnification, Release, Governing Law.
By entering the Giveaway, all entrants waive any and all claims of liability against Valley Vet, its principals, employees, officers, directors, vendors, co-sponsors, and agents, for any personal injury or loss of property that may result from the administration of or participation in the Giveaway, or from the use of any prize. Each entrant further agrees to indemnify, defend, and hold Valley Vet harmless from any and all injury, loss, claims, actions, damages, liability, costs, and expenses, including reasonable attorney's fees, resulting from loss of life, personal or bodily injury, damage to or loss of property, or other incident or loss arising from or related to the administration of and participation in the Giveaway, or the use of any prize. Entrants agree that the Giveaway will be governed by the laws of the state of Kansas, without regard to conflict-of-laws rules, and submit to the exclusive personal jurisdiction of the state and federal courts in Kansas.
11. Release of Social Media Companies.
The Giveaway is in no way sponsored, endorsed, administered by, or associated with Facebook, Twitter, Google+, Instagram, YouTube, Pinterest, LinkedIn, or other social media platforms on which the Giveaway is announced or conducted. By participating in the Giveaway, each entrant waives any and all claims of liability against the social media platform(s) on which the Giveaway is announced and conducted-including the social media platform's subsidiaries and affiliates, and all principals, employees, and agents-for any personal injury or loss related to the administration of or participation in the Giveaway, or from the use of any prize.
12. Taxes.
Each Giveaway winner is solely responsible for reporting and paying any applicable taxes related to the prize, and paying any related expenses not otherwise specifically provided for in these Official Rules. Each winner must provide Valley Vet with valid identification and a valid taxpayer identification number or social security number before any prize will be awarded. Any person winning over $600.00 in prizes from Valley Vet will receive an IRS form 1099 at the end of the calendar year, and a copy of such form will be filed with the IRS. Any valuation of the prizes assigned by Valley Vet is based on information provided to Valley Vet, and the value of any prize awarded to a winner may be reported for tax purposes, as required by law.
13. Disqualification and Termination.
By participating in the Giveaway, each entrant agrees to be bound by the decisions of Valley Vet and these Official Rules. Persons who violate any rule, attempt to gain unfair advantage in the Giveaway, or obtain winner status using fraudulent means will be disqualified. Rude, disruptive, annoying, harassing, or threatening behavior is prohibited. Valley Vet will interpret these Official Rules and resolve any disputes, conflicting claims, or ambiguities regarding the Official Rules or the Giveaway in its sole discretion, and Valley Vet's decisions regarding such disputes will be final. If the conduct or outcome of the Giveaway may be affected by human error, mechanical or system malfunctions or failures, intentional interference, or any other unforeseen event beyond Valley Vet's control, Valley Vet reserves the right to terminate the Giveaway, or make such other decisions regarding the outcome as Valley Vet deems appropriate. Valley Vet reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry or award processes, and to cancel, terminate, modify, or suspend the Giveaway.
14. Valley Vet Terms of Use and Privacy Policy Apply.
The Giveaway, and all content created, generated, or submitted in connection with the Giveaway is subject to the Valley Vet Terms of Use and the Valley Vet Privacy Policy, which are incorporated in these Official Rules by reference.
15. Disputes Resolved by Binding, Individual Arbitration.
Any and all claims, causes of action, and disputes between you and Valley Vet-including, without limitation, any claim, cause of action, or dispute relating in any way to the Giveaway-will be resolved by binding arbitration, rather than in court, except that you may assert an individual action in small claims court if your claims qualify, and so long as the matter remains in small claims court and advances only on an individual basis. Unless you proceed with a small claims action, the Federal Arbitration Act and federal arbitration law will apply to these Official Rules. This arbitration agreement will include all claims, causes of action, and disputes between you and the officers, directors, employees, agents, contractors, licensors, successors, assignees, co-sponsors, and vendors of Valley Vet. You and Valley Vet agree that any dispute resolution proceedings will be conducted only on an individual basis, and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you and Valley Vet waive any right to a jury trial, and waive any right to participate in a class, consolidated, or representative action. All claims will be resolved on an individual basis. You and Valley Vet also agree that either party may bring suit in court to enjoin infringement or other misuse of intellectual property rights. The arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules and Supplementary Procedures For Consumer-Related Disputes. Payment of all filing, administration, and arbitrator fees will by governed by the AAA's rules. If there is any conflict between these Official Rules and the AAA's rules, these Official Rules will control. The AAA Rules are available online at https://www.adr.org, or by calling the AAA at 1-800-778-7879. AAA and the parties must comply with the following rules: (a) for any claim where the total amount in controversy is less than $10,000 (ten thousand US dollars), the arbitration will be conducted by telephone, online, or be based solely on written submissions, and the specific manner will be chosen by the party initiating the arbitration; (b) the arbitration will be conducted by one arbitrator in Kansas City, Kansas or Kansas City, Missouri who is approved or otherwise affiliated with the AAA; (c) the arbitrator may award injunctive or declaratory relief only in favor of the individual party seeking relief, and only to the extent necessary to provide relief warranted by that party's individual claim; (d) unless otherwise mutually agreed by the parties in writing, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding; and (e) any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. If subparagraph (d) above is found to be unenforceable, then this mandatory arbitration provision will be null and void, but the jury trial and class action waiver provisions will remain in effect. Only a court and not the arbitrator can decide issues relating to the scope and enforceability of this arbitration agreement, including all issues of arbitrability; the availability of class arbitration; and all other procedural issues. Any demand for arbitration governed by this arbitration agreement must be made before the statute of limitations applicable to such a claim has run.
16. Winner.
Each Giveaway winner must be eligible at the time of the award, and must submit proof of eligibility in order to collect a prize. If the Giveaway winner is not eligible at the time of the award, Valley Vet reserves the right, in its sole discretion, to award the prize to another member of the winner's household, or to draw a new winner from the Giveaway's eligible entries.
